Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Ichiba (the “Platform”), operated by Ichiba (“Ichiba,” “we,” “us,” or “our”). By creating an account, listing an event, applying to an event, buying a ticket, or otherwise using the Platform, you agree to these Terms. If you do not agree, please do not use the Platform.
1. What Ichiba is
Ichiba is an online marketplace that connects venues and event organizers (“Hosts”) with independent makers and sellers (“Vendors”), and lets members of the public (“Attendees”) reserve or purchase tickets to events. Ichiba provides the technology that enables these connections and payments; we are not the organizer of any event, the seller of any goods, or a party to the agreements formed between Hosts, Vendors, and Attendees.
2. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract to use the Platform. You agree to provide accurate information, keep your login credentials secure, and are responsible for all activity under your account. You are responsible for any taxes, licenses, permits, or insurance required for your activities.
3. Hosts
Hosts are responsible for their event listings, venue, dates, capacity, booth fees, ticketing settings, and for reviewing and selecting Vendors. Hosts must accurately describe their space and events, honor confirmed bookings and tickets, and comply with all applicable laws, including health, safety, and permitting requirements. To receive payouts, Hosts must connect a valid payout account through our payments provider.
4. Vendors
Vendors are responsible for their applications, profiles, product descriptions, and for any goods they sell. Vendors must honor confirmed bookings, show up to events they have committed to, and comply with all applicable laws. Ichiba does not guarantee that any application will be accepted or that any event will meet your expectations.
5. Attendees and tickets
Attendees may reserve free spots (RSVP) or purchase tickets to events. Tickets are issued by, and the event is the responsibility of, the Host. Your ticket is subject to any additional terms, capacity limits, and entry requirements the Host sets. We may email you your tickets and related information at the address you provide.
6. Fees, payments, and payouts
Payments on the Platform are processed by our third-party payments provider, Stripe. By making or receiving payments, you agree to Stripe’s Services Agreement and, for Hosts receiving payouts, the Connected Account Agreement.
Ichiba charges a service fee of 4% + $0.50 on each booth fee and ticket sale processed through the Platform. Standard payment-card processing fees (2.9% + $0.30) are additional and are borne by the Host. Booth fees must be either $0 (free) or at least $10. Prices are shown before you complete a payment. You authorize us and our payments provider to charge your selected payment method for the amounts you approve.
7. Cancellations and refunds
Refund and cancellation terms are disclosed at the time of each transaction and may vary by event. If a Host cancels an event, paid Vendors and Attendees are refunded as described in the applicable cancellation terms. Except where required by law or expressly stated, Ichiba’s commission may be non-refundable. Disputes about an event or goods are primarily between the Host, Vendor, and/or Attendee involved.
8. Your content
You retain ownership of the content you submit — listings, profiles, photos, banners, messages, and similar (“Content”). You grant Ichiba a non-exclusive, worldwide, royalty-free license to host, store, display, and use your Content to operate and promote the Platform. You represent that you have the rights to the Content you submit and that it does not infringe others’ rights or violate any law.
9. Messaging and acceptable use
The Platform includes messaging features (event chat and direct messages). You agree not to use them to send spam, harass others, or share unlawful content. You agree not to misuse the Platform, including by attempting to gain unauthorized access, scraping data, interfering with its operation, circumventing fees, or using it for any unlawful, fraudulent, or harmful purpose.
10. Intellectual property
The Platform, including its design, logos, and software, is owned by Ichiba and protected by intellectual-property laws. You may not copy, modify, or create derivative works from the Platform except as allowed by these Terms.
11. Disclaimers
The Platform is provided “as is” and “as available,” without warranties of any kind, whether express or implied. We do not warrant that the Platform will be uninterrupted, error-free, or secure, and we do not endorse or guarantee any Host, Vendor, event, or goods. Your use of the Platform and attendance at or participation in any event is at your own risk.
12. Limitation of liability
To the fullest extent permitted by law, Ichiba and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising from your use of the Platform. Our total liability for any claim relating to the Platform will not exceed the greater of the fees Ichiba earned from your transactions in the three months before the claim, or $100.
13. Indemnification
You agree to indemnify and hold harmless Ichiba from any claims, losses, or expenses (including reasonable legal fees) arising from your use of the Platform, your Content, your events or goods, or your violation of these Terms or any law.
14. Suspension and termination
We may suspend or terminate your access to the Platform at any time if you violate these Terms or if we reasonably believe your use poses a risk to us or others. You may stop using the Platform at any time. Provisions that by their nature should survive termination will survive.
15. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Platform after changes take effect means you accept the updated Terms.
16. Governing law
These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction of the courts located in Virginia for any dispute not subject to arbitration or small-claims resolution.
